MLT is one of Western Canada's most experienced law firms in
the field of uranium and hard-rock mining and exploration. We
have been involved from the earliest days in the development
of potash and uranium in Saskatchewan, and also other hard rock
minerals. MLT has been long-time counsel for many of the players,
large and small. In uranium matters in particular, we are one
of the most experienced law firms in Canada.
Our experience in mining and exploration includes environmental
and related regulatory compliance law, exploration and extraction-rights,
project organization through the use of joint ventures and
operatorships, project financings, mineral tax and royalty
regimes, governmental
relations, and dispute resolution through arbitrations and
litigation.
We have analyzed asset titles and actively designed and
negotiated innovative purchase agreements, financing
arrangements and
complex joint venture, co-ownership and partnership structures.
We have
litigated numerous resource industry disputes, ranging
from precedent-setting constitutional issues to royalty and other
profit-sharing disputes,
to basic interpretational and operational issues.
Our practice experience in the field extends to all aspects
of project development. We have advised clients on public
and private
equity and debt financings, tax planning and re-organizations,
environmental and other regulatory compliance, negotiations
and contracting with governments and aboriginal groups
regarding development rights, resource management agreements,
local
sourcing and employment issues and basic real estate
law advisory services.
Recent highlights of our experience in mining and exploration
law include:
- providing advice on the development of a $450,000,000
US gold project in Asia, including negotiation
of related
engineering
and construction management contracts;
- project counsel for the co-owners of a $350,000,000
uranium mill, including private
sector and state owned participants from North America, Europe
and Asia;
- project counsel
on numerous uranium exploration and development joint ventures
including mill construction
and commissioning;
- acting for a publicly-traded
gold producer in completing a rights offering financing.
