Don
Wilson was named Managing Partner in January 2002, but continues
his broadly based corporate and commercial practice with emphasis
on project development, corporate financing, acquisitions and
secured transactions. He is experienced in matters of corporate
restructuring, refinancing, and the acquisition and disposal
of commercial assets. Don regularly advises clients, including
small businesses, co-operatives, and large private and public
corporations, on general corporate and commercial matters,
including corporate structuring, legal due diligence, agreements
for purchase and sale and corporate financing.
Don has diverse experience in project development. He has acted
as counsel respecting the formation, organization and operation
of a variety of government and industry sponsored mega-projects
involving companies in the mining, oil and gas, steel, commodity
and heavy equipment industries. In these and other projects he
has advised borrowers on project and operating capital financings
of various sizes involving lenders in both the Canadian and U.S.
markets. His experience in this field includes many syndicated
financing arrangements and private equity transactions.
In the field of secured transactions Don has acted as counsel to
lenders, vendors and borrowers in structuring and implementing
secured credit instruments. He also advises corporate clients on
the impact and relevance of proposed legislative initiatives and
has regularly provided critical assessments to government on draft
legislation.
