Kelly Caruk joined MLT
after articling with a major national firm in Calgary. She is
a distinguished scholar and the winner of the Law Society of
Saskatchewan Silver Medal as the Second Most Distinguished Graduate
of the University of Saskatchewan College of Law in 2003. Kelly
won a number of other scholarships for outstanding achievement
in courses related to business law and taxation, including the
Stikeman-Elliott/Carswell National Tax Award. She is a graduate
of the Canadian Securities Course.
Kelly has assisted clients with finance, securities and general
business matters, including:
- commercial lending and financing arrangements, including
credit agreements and security documents;
- securities regulatory requirements for public companies (particularly
those in the mining industry), including corporate governance
and continuance disclosure issues; financing exemptions; and
AMEX, TSX and TSX-Venture Exchange compliance; and
- contracts required by businesses on both a transactional
and continual basis, such as confidentiality, services/consulting
agreements, purchase and sale agreements and letters of intent.
Kelly has examined issues relating to the regulatory environment
of natural resource companies, particularly in the areas of mineral & natural
resource taxation and in provincial and federal environmental,
health, safety and mining requirements. She has assisted clients
with tax issues relating to GST, PST and EI remittance; deductibility
of business expenses; employee and shareholder benefits; discretionary
trust matters; fuel tax; management fees; and income attribution.
